Course Content

Summary of the basic rules and principles of (the new) Belgian company law based on the study of the following subjects: company law 2020, sources of company law; typology of company forms; companies with unlimited liability; the incorporation of companies with legal personality; management of companies with legal personality; directors' liability; the general assembly, shares and other securities, capital and net assets; control in/over the company; restructuring of the company; settlement of disputes, dissolution and liquidation.

At least one class will be given by a guest lecturer coming from the academic or business world.

An outline consisting of an extensive slide deck sorts out the subject matter and describes the most important rules and principles of Belgian Company Law. The slides are explained during (digital) classes that are recorded, sometimes in advance, as well as  in interactive classes on campus or digital. Personal notes taken in formal colleges count as subject matter and a decent Company law code is essential.

Complementary study material is put at the disposal via Canvas; it helps to give the students a flavour of real life company law documents (such as examples of articles of incorporation, by-laws, a shareholders agreement, minutes, court decisions...).

Occasionally students are asked to read legal articles and papers (“required reading”) or to study them (“subject matter”). 

Besides the (possibly digital) classes for the day students, 5 (possibly digital) 2-hour classes are being organized to walk (in particular) students that combine their studies with a job through the subject matter, as well as through corporate documents. All classes, both digital and physical, are being recorded and are put at the students' disposal through Canvas.

Grading

The final grade is composed based on the following categories:
Written Exam determines 100% of the final mark.

Within the Written Exam category, the following assignments need to be completed:

  • Examen Schriftelijk with a relative weight of 100 which comprises 100% of the final mark.

Additional info regarding evaluation

Students will be examined by means of a (possibly digital) written exam. Some of the questions are packed in cases in order to test whether students can identify and solve legal problems, and have developed basic skills relevant to company law. Understanding and the ability to put things together are as important if not more important than factual book learning when giving marks.Students are allowed to make use of the Code of companies and associations during the exam. A test exam/examples of exam questions will be discussed in the final class.
