Course Content

This course aims for students to acquire a basic understanding of business law. This will be achieved in grosso modo three parts. First, a brief general introduction to law will be given to make students familiar with a few basis concepts and structures required for a clear understanding of our legal order and legal thinking in general. The second part offers an introduction to commercial law (and, if time allows, a few specific topics of economic law). The third part will consist of an introduction to company law in the narrow sense.

  1. Handbooks
    Not all chapters of the handbooks set out above are material for the exam. During the lectures will be clearly identified which subject matters are included and which subject matters are not included. An overview thereof will be available through Canvas.
  2. Legal Codes
    In the context of this course it is less important for students to learn how to work with legal codes (contrary to law students). Nevertheless, it is  permitted to use a code during the exam. The basic legal texts which are most relevant for this course are the Civil Code, the Commercial Code, the Code of Economical Law and the Companies Code.

Learning Outcomes

General competencies

This course aims to offer students a basic understanding of prevailing Belgian business law. After successfully completing this course students should be familiar with the legal context of a company’s activities and should have developed basic skills to handle certain questions and problems in that respect. Students should acquire a clear view on the regulatory framework that is applicable to business activities, should understand and be able explain the applicable rules and solve simple cases.

For the first part (general introduction) it is, in particular, envisaged that students acquire a clear understanding of some basic concepts and structures of the Belgian legal order and develop basic skills in respect of legal thinking.

As to the second part (commercial law) students are expected to become familiar with the basic rules of commercial law, to be able to explain such rules in general and to solve simple cases, by making use of such rules.

For the third part (company law) students are expected to acquire basic insights in Belgian company law, to be able to explain the rules discussed and to solve simple cases by making use of such rules.

Grading

The final grade is composed based on the following categories:
Written Exam determines 100% of the final mark.

Within the Written Exam category, the following assignments need to be completed:

  • Written Exam with a relative weight of 100 which comprises 100% of the final mark.

Additional info regarding evaluation
  • The written exam will consist of a combination of multiple choice and essay questions.
  • Examples of questions will be given during the lectures and will be made available via Canvas.
  • As noted above, the use of a legal code during the exam is allowed. Coloured markings (in fluo) and underlining is permitted in such codes but all other annotations are prohibited (e.g. post-its, written comments or cross references). All codes will be examined at the beginning of the exam and violations will be considered as cheating.
Allowed unsatisfactory mark
The supplementary Teaching and Examination Regulations of your faculty stipulate whether an allowed unsatisfactory mark for this programme unit is permitted.
