Course Content

The course is built up out of 9 capita selecta in corporate law, which are of importance to the notary, namely ‘Company forms’, ‘Corporate law 2020’, ‘Set-up difficulties’, ‘Shareholder agreements’, ‘Board of representatives’, ‘Practical seminar on capital’ and ‘General meeting’. The topics ‘Termination and liquidation of companies’ (or, alternatively, ‘Mergers and divisions’) and ‘Corporate Law aspects of Estate Planning’ are held by guest lecturers with particular expertise in that field. During treatment of the various topics, a great deal of attention is given to drawing up of clauses and company documents. Active co-operation and a critical questioning attitude are welcomed during lectures.

  • The slides provided for the course will be discussed in (as much as possible pre-recorded) digital lectures. This allows the actual lectures (which, depending on the security measures will take place digitally or physically and in real time, but which will in any event also be recorded) to be as interactive as possible, with attention for new regulations, case law, legal doctrine, deeds and clauses from practice.
  • The subject matter consist of the slides and the notes to the (possibly digital) lectures, but also of legal doctrine and judgements or rulings; all this will be clearly indicated in the slides and/or during the lectures
  • The basic course "Company Law" is, with a few clearly indicated exceptions, supposed to be known by the students. However, students who have taken the company law course at another Belgian university are free to use their former course as study material, provided they make sure that the course is still sufficiently up to date.

General competencies

The student:

  • possesses a thorough, ready knowledge of and insight into the basic rules and principles of corporate law, focussing on topics handled.
  • is up-to-date with upcoming reforms in Belgian corporate law and knows how to place this into a broader European context.
  • can solve corporate law problems which may arise in (notary) practice.
  • can write, improve and comment on clauses in company deeds and shareholder agreements.
  • is able to clarify corporate law rules and principles and evaluate them critically.

Grading

The final grade is composed based on the following categories:
Written Exam determines 100% of the final mark.

Within the Written Exam category, the following assignments need to be completed:

  • Written Exam with a relative weight of 100 which comprises 100% of the final mark.

Additional info regarding evaluation

The exam takes the form of a (digital) written exam in which knowledge, insight and skills are tested by means of a mix of questions including (challenging) cases. The exam will be practised interactively during the last lesson, using a mock exam. The students may use the Code of Companies and Associations during the exam.

The student may receive individual feedback after the exam upon request.

Allowed unsatisfactory mark
