Course Content

This course is situated within the framework of the educational innovation at the VUB (creation of a so-called cluster course which contains several matters of enterprise law).

In terms of content, this course aims at gaining insight into the principles and legal rules of Belgian enterprise law (also within a European context), including accounting law and insolvency law.

The student learns, in addition to the basic technical rules in this matter, to understand the social and economic importance and the individuality of enterprise law. This course teaches the student in general to familiarize himself with the general rules of enterprise law.

This course covers the following topics:

  • The concept of an enterprise and its application relevance
  • The court competent regarding enterprises
  • A number of current enterprise obligations (including the accounting rules)
  • The organization of the enterprise as a natural person or as a company
  • A number of frequent contracts with which the enterprise is dealing (e.g. credit agreements)
  • Insolvency (bankruptcy and the legal procedures on the prevention of insolvency)

For the working students, the course and the exam take place in the same way.

Arrangement for students of the Evaluation commission of the Community: the students of the Evaluation commission of the Flemish Community study the subject matter mentioned in the aforementioned Handbook and participate in an exam on this subject like ordinary (day and work) students.

Students of the Evaluation commission of the Community are requested to contact the professor and / or his assistant for further explanation at the start of the academic year in the event of a lack of clarity regarding the limits of the subject matter. The learning material to be studied is provided during the lectures.

It is of course possible to take into account any recent changes that may have been made to the texts published there, as explained during the lectures and / or the practical exercises.

For the evening students, the technique of so-called blended learning will be applied.

Learning Outcomes

General competencies

In the context of this course the following specific learning outcomes are being pursued:

  1. Students acquire a broad basic knowledge of Belgian, European and international law in the field of enterprise law (including accounting law and insolvency law). Students acquire insight into the structures of enterprise law, acquire a basic knowledge of the most important legal concepts and figures and of the basic rules of all areas of enterprise law.
  2. Students acquire a thorough knowledge and understanding in the field of enterprise law, with which they are prepared for a master program in law and may already be able to function on the labor market in a paralegal function or a general job at bachelor level.
  3. Students acquire insight into the realization of the legal rules and the dynamic character of corporate law (with the help of the dynamics arising from legal doctrine and jurisprudence).
  4. Students acquire a critical-investigative attitude, including with respect to the relationship between (economic) law and society.
  5. Students acquire in the field of enterprise law such knowledge of research methods and techniques focused on legal research that they are able to analyze problematic situations independently and to translate them into legal terminology, to find legal sources to understand and explain them.

Grading

The final grade is composed based on the following categories:
Written Exam determines 100% of the final mark.

Within the Written Exam category, the following assignments need to be completed:

  • Examen Schriftelijk with a relative weight of 1 which comprises 100% of the final mark.

Written exam that determines 100% of the final mark.

Explanation: The exam is a classical written exam (on 20 points) during which a number of theoretical questions and, if necessary, an evaluation of these theoretical questions based on a simple practical example, must be solved.
